Terms of service

These terms are an agreement between you and Spyder Solutions (Pty) Ltd (registration number 2023/672996/07), trading as PaidKindly ("we", "us"). By creating an account or using PaidKindly you agree to them. Our privacy policy and refund policy form part of these terms.

1. The service

PaidKindly sends payment reminders for invoices that you issue to your own clients, by WhatsApp and email, on a schedule you choose. We are not a debt collector, don't collect money on your behalf, and don't give legal or financial advice. Payments go directly from your client to you, using the payment details you provide.

2. Your account

  • You must be at least 18 and able to enter into a contract, and use PaidKindly for business purposes.
  • Keep your login secure. You're responsible for activity on your account.
  • Give accurate information, including your business name, which appears in every reminder.

3. Your responsibilities

  • Consent: only add clients who have agreed to receive messages from you about invoices, and only send WhatsApp reminders where the client has agreed to WhatsApp messages. You confirm this for each client.
  • Lawful, genuine invoices: only remind clients about real amounts they owe you. Don't use PaidKindly to collect debts for third parties, to harass, threaten or mislead anyone, or to send marketing.
  • POPIA: for your clients' information you are the responsible party and we are your operator (see our privacy policy). You must have a lawful basis to give us their details.
  • Respect opt-outs. If a client replies STOP, WhatsApp reminders to that number stop for everyone using PaidKindly.

We may suspend accounts that break these rules or that put our WhatsApp number's quality rating at risk.

4. Plans, prices and billing

  • Plans and prices are shown on our pricing section, in South African rand. Spyder Solutions (Pty) Ltd is not VAT-registered, so no VAT is charged. If we register for VAT, we'll tell you before it affects your price.
  • Paid plans are billed in advance, monthly or annually, by card through Paystack, and renew automatically until cancelled.
  • If a renewal payment fails, we'll email you and keep your plan active for 7 days. After that the account moves to the Free plan until payment succeeds.
  • WhatsApp reminder allowances reset every month and don't carry over. When an allowance is used up, reminders are sent by email instead.
  • We may change prices with at least 30 days' notice by email. Changes apply from your next renewal.

5. Free plan and trial

The Free plan and the 14-day Pro trial need no card. When the trial ends without a paid plan, your account moves to the Free plan.

6. Cancellation, cooling-off and refunds

You can cancel at any time in your account settings or by emailing hello@paidkindly.com. Your plan stays active until the end of the period you've paid for. Where it applies, you have a 7-day cooling-off right under section 44 of the Electronic Communications and Transactions Act. Details are in our refund policy.

7. Availability and changes

We work to keep PaidKindly running reliably but can't guarantee uninterrupted service. WhatsApp and email delivery depend on third parties (Meta, email providers, mobile networks), and a reminder may occasionally be delayed or not delivered. We may improve or change features; we'll give notice of changes that significantly reduce what your plan includes.

8. Liability

To the extent the law allows, our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim, and we are not liable for indirect or consequential loss, including unpaid invoices. Nothing in these terms limits rights you have under the Consumer Protection Act, 2008, where it applies, or liability that cannot be limited by law.

9. Indemnity

You indemnify us against claims arising from reminders sent to clients who didn't consent, invoices that aren't genuinely owed, or your breach of these terms or the law.

10. Ending the agreement

You can close your account at any time. We may close accounts with 30 days' notice, or immediately for serious or repeated breaches. After closing, data is deleted as described in our privacy policy.

11. Intellectual property

PaidKindly, its software and its content belong to Spyder Solutions (Pty) Ltd. Your data stays yours.

12. Changes to these terms

We may update these terms. We'll email account holders at least 14 days before significant changes take effect.

13. Law and disputes

These terms are governed by South African law. Please contact us first at hello@paidkindly.com so we can try to resolve any problem. Otherwise, the courts of South Africa have jurisdiction.
